Incorporating online in Ontario

I get this question all the time so I thought I’d answer it here: Can you incorporate online?  Yes, you can file Articles of Incorporation in Ontario through one of several private companies who have the forms through an internet platform. I like the convenience of online incorporations, but I’ve got a few issues with the concept (other than the obvious fact that this is what I do for a living). When you’re setting up a company, the Articles of Incorporation need to be properly drafted. If something contained in the Articles has to be changed, you’ll end up having to file Articles of Amendment later on. In my view, you need to have a conversation with a lawyer and an accountant about the legal and tax implications of incorporating. What share structure is appropriate? Is it even necessary for you to incorporate at all? If you’ve decided incorporation is the way to go, keep in mind that filing Articles of Incorporation is only the first step. You also need to prepare resolutions and bylaws, appoint directors and officers of the company, and issue shares.
